Terms of Service

1. Agreement

By creating an account or using Boardbox (“Service”), you agree to these Terms. If you do not agree, do not use the Service. If you are using Boardbox on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Boardbox. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. The Service

Boardbox is a workspace product that organizes your context — including profiles, channels, artifacts, media, and integrations — and uses large language models to generate responses, summaries, and other outputs. The Service is provided on an “as is” and “as available” basis. Features may change, be added, or be removed.

4. Your Content

You retain ownership of the content you upload, create, or generate in Boardbox (“Your Content”). You grant Boardbox a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and modify Your Content solely to operate, improve, and provide the Service to you. You represent that you have the rights necessary to upload Your Content and that it does not violate any law or third-party right.

5. AI-Generated Output

Boardbox uses third-party AI models to generate output based on your inputs and stored context. You acknowledge:

  • Output may be inaccurate, incomplete, biased, or offensive.
  • You are solely responsible for reviewing and verifying any output before relying on it.
  • Boardbox makes no warranty that output is accurate, current, lawful, or fit for any particular purpose, including legal, medical, financial, or other professional advice.
  • Identical or similar output may be generated for other users; we do not guarantee uniqueness.

6. Third-Party Integrations

Boardbox connects to third-party services (e.g., Linear, GitHub, Slack, Stripe, Notion, Google Drive) at your direction. By connecting an integration, you authorize Boardbox to access, read, and — where applicable — write data on your behalf. Your use of those services is governed by their own terms. We are not responsible for the availability, security, or content of third-party services.

7. Acceptable Use

You agree not to:

  • Use the Service to violate any law or infringe any right.
  • Upload malware, attempt to compromise the Service, or probe its security.
  • Reverse-engineer, scrape at scale, or build a competing product using the Service.
  • Use the Service to generate content that is illegal, harassing, defamatory, sexually explicit involving minors, or that facilitates harm to others.
  • Submit personal data of third parties without a lawful basis.
  • Circumvent usage limits, billing, or access controls.

8. Subscriptions & Billing

Paid plans are billed in advance on a recurring basis (monthly or annual) via our payment processor. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with at least 30 days’ notice; changes apply to the next billing cycle.

If your plan includes a “Bring Your Own Key” option, you are responsible for charges incurred with the underlying model provider and for keeping your keys secure.

9. Intellectual Property

The Service — including its software, design, branding, and documentation — is owned by Boardbox and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No rights are granted except as expressly stated.

10. Privacy

Our Privacy Policy describes how we collect, use, and share information. By using the Service, you consent to that processing.

11. Confidentiality of Workspace Data

We will not access Your Content except (a) as needed to operate, secure, or support the Service; (b) with your permission; (c) as required by law; or (d) in aggregated, de-identified form. We do not sell Your Content. Use of Your Content to train third-party foundation models is governed by the AI provider’s terms; we do not voluntarily submit Your Content for model training beyond what is necessary to deliver the Service.

12. Termination

You may terminate your account at any time by deleting it from settings. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or use the Service in a way that materially harms us or other users. On termination, your right to use the Service ends immediately. We will make Your Content available for export for at least 30 days after termination unless prohibited by law.

13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated output. We do not warrant the Service will be uninterrupted, error-free, or secure.

14. Limitation of Liability

To the maximum extent permitted by law, Boardbox and its affiliates will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) USD $100.

15. Indemnification

You will defend, indemnify, and hold harmless Boardbox and its affiliates from any third-party claim arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms.

16. Changes

We may update these Terms. Material changes will be communicated by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the courts located in Delaware, unless required otherwise by law.

18. Miscellaneous

These Terms constitute the entire agreement between you and Boardbox regarding the Service. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
